These Terms of Service ("Terms") govern your use of PersonaLens, an enterprise talent intelligence platform operated by Mindwrks Technologies Pvt. Ltd. ("Company," "we," "our," or "us"). These Terms apply to all users, including but not limited to enterprise customers, HR administrators, employees, and candidates.

If you do not agree to these Terms, you must not access or use our services. Your continued use constitutes acceptance of any updates to these Terms.

- Enterprise security and compliance
- 24/7 customer support
Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance through your administrator dashboard.
User Accounts & Access

Unauthorized reproduction, distribution, or modification of any content from PersonaLens is strictly prohibited and may result in legal action. All assessment content is scientifically validated and proprietary to Mindwrks Technologies.
Payment & Billing
Enterprise Billing
- • Annual subscription agreements
- • Invoice-based billing (NET 30)
- • Volume-based pricing tiers
- • Quarterly usage reporting
Payment Terms
- • Payment due within 30 days of invoice
- • Late fees: 1.5% per month on overdue amounts
- • Auto-renewal unless cancelled
- • Proration for mid-cycle changes
Refund Policy
30-Day Trial
Full refund if cancelled within 30 days of initial purchase
Pro-rated Credits
Unused portions credited for downgrades or cancellations

Limitation of Liability

To the maximum extent permitted by law, Mindwrks Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Liability Limitations
- Maximum liability limited to fees paid in the 12 months preceding the claim
- No liability for third-party integrations or external services
- Exclusion of consequential and punitive damages
- Force majeure events exempt from liability
Indemnification
You agree to indemnify and hold harmless Mindwrks Technologies from any claims arising from:

- • Violation of third-party rights
- • Employment law violations
- • Unauthorized access or data breaches
Termination
By Customer
- • 30-day written notice required
- • Termination effective at end of billing period
- • Data export available for 60 days
- • Refund of unused prepaid amounts
By Company
- • Immediate termination for material breach
- • 30-day notice for non-payment
- • Security violations result in immediate suspension
- • Legal violations trigger immediate termination
Post-Termination
Data Retention
Customer data retained for 60 days for recovery purposes
Access Termination
All user access immediately suspended upon termination
Surviving Terms
Intellectual property and liability terms survive termination
Governing Law
Jurisdiction and Applicable Law
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Dispute Resolution
Any disputes shall be resolved through the following escalation process:
- 1. Direct negotiation between parties

- 3. Binding arbitration in Mumbai, India
- 4. Courts of Mumbai as final jurisdiction
International Compliance
For international customers, additional compliance requirements may apply based on local laws including GDPR (EU), CCPA (California), and other regional privacy regulations. Enterprise agreements will specify applicable compliance frameworks.
